The Securities and Exchange Commission (SEC) filed a complaint against Robert Yedid, Andrew Kaufman and Mark Jacobs in relation to the marketing of confidential transactions.

The complaint, which was submitted on August 14, 2025, in the southern provincial court of New York, claims that confidential transactions by Andrew Kaufman and Mark Jacobs in the titles of many public companies based on material non -public information provided by Robert Yedid from at least 2024.

During this time, Yedid was Managing Director in a consulting company that helps pharmaceutical and biotechnology companies with investment communications. In this role, Yedid received material non -public information about the customers of the Public Counseling Company, including the results of drug tests, financial and regulatory information and mergers and acquisitions.

Yedid has repeatedly shared that material non -public information with close friends of Kaufman and Jacobs, who then participated in lucrative confidential trafficking.

Kaufman shared his illegal revenue with Yedid by delivering cash folders.

Yedid repeatedly recovers his close friends, Kaufman and Jacobs, between 2019 and 2024. Yedid and Kaufman, both in the late 1960s, know each other from college and were roommates at the beginning of their career. They stayed together regularly, sometimes united by Jacobs. All three were communicated on investment issues, both separate and in some cases in common emails.

Collectively, they negotiated in the titles of at least five versions based on Yedid’s advice. Armed with material non -public information on drug test results, regulatory news, profits and mergers, Kaufman and Jacobs bought and sold shares and derivatives, completing more than $ 480,000 and $ 36,000 respectively. Kaufman then put half of his revenue, net of taxes, to Yedid.

The Securities and Exchange Commission accuses Yedid, Kaufman and Jacobs violations of the provisions against the opposing Article 10 (b) of the 1934 Mobile Exchange Act (“Exchange Act”) [15 U.S.C. § 78j(b)] and Article 10b-5 there based on [17 C.F.R. § 240.10b-5].

The Commission brings this lawsuit against the defendants in accordance with Article 21a of the Exchange Act [15 U.S.C. § 78u-1] Searching for a judgment by the Court: (a) which requires the defendants to participate in future violations of Article 10 (b) and Article 10b-5, with the involvement of specific actions or activities related to these violations; (b) to enter a conduct based on a restriction and guidance or guidance of (c) Order each defendant to disconnect an amount equal to the earnings acquired and the losses are avoided as a result of the actions described herein, with bias interest; d) To order each defendant to pay a monetary penalty;

Defendant Robert Yedid, Age 67, Resides in New York, New York. During the relative period, Yedid served as CEO of the Counseling Company and the Director of Relationships that oversee the services of the Counseling Company to many public companies. Yedid was previously registered with several intermediaries recorded by the sec. Recently, it was associated with Brokerage, LLC (“Brokerage”), a subsidiary of the consulting firm. Yedid had the series 7 and 24 licenses through brokerage from 2016 to 2023, when his licenses were voluntarily delivered.

Yedid specialized in Economics at Yale University and holds Business Administration from Stanford University. Yedid has been the director of a biotechnology company negotiated by the State from October 2019 to January 29, 2025. The Counseling Company triggered Yedid in December 2024.

The accused Andrew Kaufman, 67, lives in New York, New York and retires. Kaufman has previously worked on sales, negotiation and research in titles in several well-known registered investment advisers/brokers. It was previously linked to the registrars of the committees between 1997 and 2001 and recorded Series 7 and 63 licenses, among others.

Kaufman has an undergraduate diploma from Yale University and graduated from the University of New York Law School.

The accused Mark Jacobs, aged 77, lives in Malvern, Pennsylvania. Jacobs was associated with 13 different registrations of the committees between 1998 and 2011. He has performed 7 and 63 series licenses, among others. Jacobs has an undergraduate diploma in funding from Rider University.
