Clearstream and Euroclear will offer the issuer community the option to electronically issue, sign, certify and hold certain securities under the New Security Structure (NSS), known as electronic global notes (e-GN).
This information is addressed to all market participants involved in the issuance of international securities deposited with the ICSD CSKs.
From June 3, 2024, all documents related to e-GN issuance can be signed electronically using accepted electronic signature formats. This enhances the efficiency of issuing international bonds and Eurobonds.
New release documentation standards have been created accordingly. e-GNs will be represented by a digital PDF copy of the Global Notes in electronic form and will be deposited in a designated electronic vault for safekeeping. They will co-exist with physically held, liquid-ink signed Global Notes.
The scope of e-GN will include new issue of registered NSS securities governed by English law and issued by non-government issuers (eg companies and financial institutions) located in England and Wales or all Supranational issuers (where this supranational issuer do not have jurisdiction of incorporation).
